    Included Tax Preparation Services depends on the selected package and the signed SOW. Below is information only related to the tax preparation services and does not include a full description of all the services and tax services we offer.     • Review of client-provided bookkeeping records for tax preparation readiness.

    • Review of prior-year tax return, if provided.

    • Preparation of business tax workpapers.

    • Preparation of federal business income tax return forms for the entity type in scope.

    • Preparation of state business income tax returns if expressly included.

    • Preparation of owner K-1 packages where applicable and in scope.

    • Basic depreciation schedule review based on records provided.

    • Client review copy of the completed return package.

    • Final completed return package for Client’s signature and submission.

    • Filing instructions, mailing instructions, payment voucher instructions, and deadline reminders
      based on the information available at the time of delivery.

    • Reasonable clarification of the prepared return package so Client understands what has been
      prepared and what Client must do next.

    Services Not Included in Tax Preparation

    CFO Level Financials does not provide the following under its tax preparation services:

    • Electronic filing or e-file transmittal.

    • Paper filing, mailing, courier delivery, or physical submission of returns.

    • Acting as an electronic return originator, reporting agent, payroll provider, or tax payment agent.

    • Obtaining or using client e-file authorization forms for return transmittal.

    • Making, scheduling, or initiating tax payments or direct debits.

    • Monitoring whether the IRS, state, or local tax authority accepts, rejects, processes, posts, or applies
      a return or payment.

    • Guaranteeing refunds, tax savings, agency acceptance, or processing timelines.

    • Payroll processing.

    • Payroll tax filing.

    • Employment tax deposits.

    • Employment tax returns, including 940, 941, 943, 944, 945, W-2, W-3, and state payroll tax returns.

    • Tax controversy representation, audit defense, appeals, collection representation, or negotiation
      with tax authorities unless separately engaged with an authorized practitioner.

    • Legal tax opinions, aggressive tax-shelter opinions, tax court matters, or valuation opinions.

    • Sales tax registration, sales tax filing, nexus opinions, and state/local licensing unless separately
      scoped.

  • Clients must provide written notice of cancellation or termination at least 45 calendar days before the requested termination date or before the next service period begins, whichever is earlier.

    A cancellation is not effective until CFO Level Financials confirms receipt or otherwise acknowledges the written request. Oral requests, text messages to individual staff, missed meetings, non-use of services, payment disputes, or informal comments do not constitute proper cancellation notice unless CFO Level Financials confirms otherwise in writing.

    3.2 No Refunds After Payment

    CFO Level Financials does not provide refunds once payment has been made for services. If a client cancels after paying for a service period, CFO Level Financials will provide services through the date the payment covers, subject to client cooperation and scope limits.

    CFO Level Financials does not provide prorated refunds for early cancellation, unused service days, unused meetings, delayed records, client non-responsiveness, or change of mind.

    3.3 Services Fulfilled Through Paid Period

    If a client cancels properly and has paid for the service period, CFO Level Financials will continue performing in-scope services through the end of the paid period unless:

    • The client requests earlier termination.

    • The client fails to provide required records or access.

    • The client becomes unresponsive.

    • The client requests out-of-scope, illegal, unethical, or unsupported work.

    • Continuing the engagement creates legal, tax, accountancy, security, privacy, professional, or

      operational risk.

    • The agreement allows earlier termination for cause.

      3.4 Late Cancellation or Insufficient Notice

      If a client does not provide at least 45 calendar days’ written notice, the client may be responsible for the next service period’s fees if CFO Level Financials has reserved capacity, assigned contractors, started work, renewed tools, incurred costs, or otherwise relied on the continuation of services.

    3.5 Nonpayment and Unpaid Work

    If payment has not been provided but services have already been performed, CFO Level Financials may suspend work and withhold Company-prepared deliverables for the unpaid month or unpaid engagement to the extent permitted by applicable law and professional standards.

    Company-prepared deliverables may include, as applicable:

    • Internal financial statements. • Management reports.
    • Dashboards.
    • Forecasts.

    • Budgets.
    • Tax return packages not yet delivered.
    • Reconciliations.
    • Advisory memos.
    • Workpapers.
    • Schedules.
    • Analysis files.
    • Contractor-prepared materials.
    • Company templates and proprietary materials.

    CFO Level Financials will return client-provided records that must be returned by law, including records necessary for the client to comply with federal tax obligations, after receiving a written request and completing appropriate identity/security verification. CFO Level Financials may retain copies for legal, compliance, risk-management, insurance, and documentation purposes.

    3.6 Collection Rights and Legal Remedies

    If a client fails to pay for services rendered, CFO Level Financials reserves all rights and remedies available under the agreement and applicable law, including:

    • Suspending services.

    • Terminating the engagement.

    • Withholding unpaid Company-prepared work product where legally permitted.

    • Sending past-due notices.

    • Charging permitted late fees or administrative fees.

    • Recovering permitted collection costs.

    • Recovering permitted attorney fees.

    • Referring the account to collections.

    • Filing a breach of contract claim.

    • Seeking any lawful lien, retention right, or equitable remedy only to the extent recognized by

      applicable law and approved by legal counsel.
      CFO Level Financials is not a law firm and does not claim an attorney retaining lien or law firm retainer lien.

    3.7 Cancellation by CFO Level Financials

    CFO Level Financials may cancel, suspend, or terminate services immediately or upon written notice if:

    • Client fails to pay on time.

    • Client disputes or reverses payment.

    • Client fails to provide required information.

    • Client asks for illegal, unethical, deceptive, unsupported, or out-of-scope work.

    • Client misuses internal reports for third-party reliance.

    • Client creates security or confidentiality risk.

    • Client becomes abusive, threatening, harassing, or uncooperative.

    • Client fails to meet deadlines needed for deliverables.

    • CFO Level Financials determines continuing the engagement would create legal, accountancy, tax,

      payroll, labor, privacy, data-security, professional, insurance, or operational risk.

      3.8 Data Transition After Cancellation

      After cancellation or termination, CFO Level Financials may provide reasonable transition assistance only if:

    • The client account is paid in full.

    • The requested transition assistance is within scope or separately paid.

    • The request complies with privacy, security, tax, and professional obligations.

    • The request does not require CFO Level Financials to provide legal, audit, review, compilation,

      attestation, payroll tax, or third-party reliance services. Transition services may be billed separately.

      3.9 Automatic Renewals and Recurring Payments

      If a service is billed monthly or on a recurring basis, the client authorizes CFO Level Financials or its payment processor to charge the payment method on file according to the agreed billing schedule until proper cancellation is received and processed.

      Clients are responsible for providing timely written cancellation notice and maintaining current payment information.

      3.10 Appointments and Consultations

      Consultation appointments, advisory meetings, onboarding calls, and review meetings may be subject to rescheduling limits. CFO Level Financials may require advance notice for appointment cancellation or rescheduling. Missed appointments or late cancellations may count as used service time or may require a rescheduling fee if stated in the applicable agreement.

15.5 Tax Return Information and Special Confidentiality Limits

If you engage us for business tax preparation services, tax return information may be subject to special confidentiality rules. We use tax return information only to prepare the return package, provide related tax preparation services, maintain required records, and comply with applicable law.

CFO Level Financials does not use or disclose tax return information for unrelated marketing, unrelated services, or third-party purposes unless permitted by law and, where required, authorized by you through a separate written consent.

CFO Level Financials’ tax preparation services are preparation-only. We provide a completed return package and filing instructions. We do not electronically file, mail, submit, transmit, or otherwise file tax returns with the IRS, state taxing authorities, or local taxing authorities. You remain responsible for reviewing, signing, submitting, and paying all taxes by required deadlines.

15.6 How We Share Information

We do not sell client information. We may share information only as reasonably necessary for legitimate business, service, security, legal, or operational purposes, including with:

  • Authorized Company personnel and contractors.

  • Tax preparers, accountants, CPA reviewers, bookkeepers, or fractional CFO contractors assigned to
    your engagement.

  • Website hosting providers.

  • CRM, scheduling, email, document-management, secure portal, accounting software, payment,
    analytics, and technology service providers.

  • Professional advisers, such as attorneys, accountants, insurers, cybersecurity providers, and
    compliance consultants.

  • Government agencies, regulators, courts, or other parties when required by law, subpoena, court
    order, or legal process.

  • Parties involved in a business transaction, such as a merger, acquisition, financing, restructuring, or
    sale of business assets, subject to appropriate confidentiality protections where applicable.
    Contractors and service providers with access to confidential client information are expected to use the information only for authorized purposes and protect it through appropriate confidentiality and data- security obligations.
    15.7 Data Security
    We maintain reasonable administrative, technical, and physical safeguards designed to protect confidential information, business records, financial records, and tax-related information. These safeguards may include access controls, secure systems, multi-factor authentication where available, password controls, confidentiality procedures, contractor restrictions, secure document-handling practices, and written data- security procedures.
    No website, email system, software platform, or online transmission method is completely secure. You are responsible for using secure methods when sending sensitive information, protecting your own devices and passwords, and notifying us promptly if you believe information sent to or from us has been compromised.
    15.8 Data Storage and Retention
